1. Scope and launch status
The commercial provisions below are proposed terms for a future paid service. They are not an offer to process real payments or deliver advertising today. A separate launch notice, final terms and affirmative agreement will be required before real charges or delivery begin.
These proposed terms supplement the Terms & user agreement for advertisers and authorized agencies. They cover keyword-based search and banner/display campaigns sold on a cost-per-click basis. They do not govern publisher payouts; a separate publisher agreement will be required before third parties supply inventory.
2. Campaign and order details
A proposed paid order must identify the advertiser, campaign format, approved destination URL, creative, keyword selections, CPC in USD to two decimal places, click or spending limit, funding source, targeting and any schedule. A group of keywords can share a campaign, with permitted per-keyword destinations and creative assignments where the interface supports them.
Selecting a keyword is not buying ownership, exclusivity, a search-engine listing or a guaranteed placement. Market estimates are research, not a commitment that the network can sell that many clicks. An accepted inventory/price quote from the live network will be needed; browser-supplied estimates alone cannot authorize a real charge.
3. Submission, requested changes and approval
Submitting an order creates a campaign awaiting administrator review. The administrator can approve, request changes or reject, and may explain the decision. When changes are requested, the campaign remains in the queue awaiting your response. You can modify the campaign, send a message and submit it again for review. Review messages and activity are saved.
Approval does not itself start delivery. You must explicitly start an approved campaign. You may pause it through campaign controls. Changes affecting approved destinations or ads can require renewed review and pause delivery. We can suspend unsafe or noncompliant ads after initial approval and provide an explanation where practicable. Approval is not a warranty of legal compliance or placement on every publisher.
4. What a billable click means
The proposed charging unit is a valid, user-initiated click on an eligible ad recorded by the authorized network. Impressions alone are not charged. A click is not necessarily a unique person, a session, a conversion or a sale. Counts from your analytics can differ because of measurement methods, redirects, consent, blockers and time zones; that difference alone does not prove fraud.
Bots, known automated activity, self-clicking, manipulation, accidental/invalid interactions and duplicate network events must be excluded or adjusted under a documented validation policy. Campaign event ingestion must be authenticated and deduplicated. The present simulator is not a fraud-detection certification or a production billable-click authority.
Before live delivery, the service must disclose the actual validation rules, reporting latency, attribution/time convention and correction process. Current reports use UTC and can display billable, invalid and pending simulated traffic separately. Research-normalized clicks are unrelated to billing validation.
5. CPC, limits and funding
The proposed rate is the CPC accepted for each keyword/line. Monetary arithmetic uses whole cents. Planned totals are selected whole clicks multiplied by that cents-rounded CPC. The price and allocation recorded in an accepted receipt are not silently recalculated when the research model changes. A new price or expanded limit needs a new accepted offer or explicit modification.
Prepaid click packages and a reusable funded advertising balance are different funding arrangements. A package uses its allocated clicks; a balance-funded campaign consumes confirmed available credit for validated clicks. They must not both be debited for the same click. Pending deposits are not spendable. No publisher revenue share creates an additional impression-based charge to the advertiser.
Live delivery must stop before unfunded or unauthorized usage is incurred, using reservations and atomic accounting where events are concurrent. A pause stops new authorized delivery after processing; any already-authorized in-flight clicks must remain within the agreed limits. The current prototype does not establish a production latency allowance or permit unlimited overspend.
6. Delivery and reporting
A future campaign can run only when approved, explicitly started, eligible for inventory and sufficiently funded. Volume can vary. We do not promise that a budget will be spent, that research estimates will be reached, or that a specific number of conversions, positions or sales will result. A guaranteed deadline or placement must be expressly included in an accepted order.
You can view campaign status, clicks, spend, average CPC, remaining package allocations or current balance and charts by available date ranges. Funding balances are current figures and should not be mistaken for historical period totals. Provisional reports may require later validation/corrections, which must remain traceable rather than overwrite settled history.
7. Ads, destinations and advertiser duties
You supply accurate text, banners and working landing pages and hold the necessary permissions. You are responsible for the advertised product, claims, disclosures, consumer fulfillment and your destination’s privacy/cookie handling. You must not change a reviewed page into prohibited content, cloak it or redirect users to an undisclosed destination.
You authorize technical resizing, re-encoding and display of approved creative as needed for the ordered format, without permission to invent endorsements or materially change your claims. Additional content uses require your agreement. Advertising must be recognizable as advertising and meet the Advertising & acceptable use policy.
Do not send customer lists, precise locations, sensitive audience attributes or information about children through this interface. Audience uploads, retargeting pixels, personalized targeting and conversion tracking are outside the present service. They require separate technical controls, privacy roles/notices and agreements before introduction.
8. Rejection, cancellation, invalid traffic and remedies
A proposed paid campaign that is rejected or cancelled before delivery is not charged for undelivered clicks. Unused prepaid value remains subject to the Payments, cancellation & refunds policy and mandatory law; rejection does not automatically forfeit paid credit. Charges for valid traffic already delivered are not cancelled merely because results were disappointing.
The proposed business dispute window is 30 calendar days after the relevant charge/report becomes available, without limiting mandatory rights or fraud claims that cannot lawfully be restricted. Report the campaign, period and reason; provide relevant redacted evidence. We will assess available event evidence and explain the outcome. Proven invalid charges should be corrected with an auditable credit or refund; a disagreement is not an automatic approval of every claim.
The present site has no real payment refund or chargeback workflow. These commercial remedies must be operational, tested and funded before live billing. General warranties, remedies and responsibility are governed by the finalized user agreement and mandatory law.
