1. Agreement and status

These Terms & Conditions are also our User Agreement for Searchscope at https://keywordsandbanners.com. The proposed parties are you or the business you are authorized to represent and the operator of Searchscope (legal business name awaiting confirmation). This review copy is not yet effective and does not replace existing terms or record an agreement by continued browsing.

When finalized, the terms will be presented for affirmative acceptance at registration or another relevant transaction. Privacy notices are informational; accepting service terms is not consent to unrelated marketing, tracking or recurring charges. Existing accounts must receive notice and an appropriate acceptance opportunity before new commercial obligations are imposed.

For advertising, the Advertiser Agreement, Advertising & acceptable use policy and Payments, cancellation & refunds policy supplement these terms. Applicable mandatory law prevails. A separately signed order can override a specific commercial provision only if it expressly says so; it cannot override non-waivable rights.

2. Eligibility, authority and accounts

The proposed service is for business advertising and research by persons aged 18 or above with legal capacity to contract. You represent that you have authority to act for the named business or advertiser and to provide its information and content. Business-only intended use does not remove legal protections that actually apply to a person or transaction.

Provide accurate contact and account details, keep your password private, protect access to your email and report suspected compromise promptly. Do not impersonate another person, share access contrary to authorized account permissions or attempt to obtain another customer’s information. You remain responsible for actions you authorize; liability for unauthorized activity remains subject to applicable law and the facts.

3. Present demonstration service

The present website offers keyword/domain/URL research and calculated planning figures, a browser cart, member profiles, saved demonstration orders, test payment setup and funding, campaign review, reusable creative assets and simulated traffic reporting. Records persist on the server; simulated payment, spending and traffic do not constitute real delivery or collection of money.

Demonstration balances, click allocations, deposits, refunds and refill outcomes have no cash value, cannot be redeemed or transferred and do not create a right to real ads. Do not send money or real financial credentials using demo instructions. Tests can fail or be reset with suitable notice; account and personal data still require proper handling under the Privacy Policy.

No switch to real charges, paid delivery or automatic payment is authorized by using the demo. Those services require a finalized offer, reviewed integration and the customer’s separate informed agreement.

4. Research, estimates and external data

Search volume, market clicks, recommendations and CPC benchmarks are third-party estimates or our calculations. Our normalized click count is a planning output, not a measurement of available network inventory. A displayed total is arithmetic at the displayed price; it is not a guarantee of demand, reach, market share, impressions, unique people, sales or profitability.

Data can be incomplete, delayed, inconsistent or unavailable. Search clicks, paid-ad clicks and search volume describe different measures. Estimated CPC can use available benchmarks, related-keyword information or model assumptions; values may change before an offer is accepted. Validate material decisions independently.

SpyFu, Google and payment-provider names identify their respective services and marks. Searchscope is independent; no affiliation, endorsement or data-redistribution permission is implied. Third-party content remains subject to its owners’ rights. Our terms do not grant rights we do not have, and our ability to provide data remains conditional on appropriate permission or another lawful basis.

5. Permitted use and restrictions

Subject to finalized terms and applicable rights, we propose a limited, non-exclusive right to use the account tools and authorized outputs for your own business planning and advertising. You must obey the Advertising & acceptable use policy and applicable laws.

  • Do not introduce malware, send spam, commit fraud, generate fake clicks or interfere with other users or infrastructure.
  • Do not evade security, access controls, usage limits, consent choices or campaign review, including through account rotation or cloaked destinations.
  • Do not extract or resell restricted third-party datasets, use another party’s credentials, or represent estimates as confirmed inventory or provider endorsements.
  • Do not upload unlawful content, confidential personal records or material you lack rights to use. Lawful security research must respect others’ systems, data and consent.

6. Your content and our software

You retain your rights in your ads, images, text, business information and other submissions. You grant only the non-exclusive rights reasonably necessary to host, technically process, review, back up and display that content for the service you request. Live distribution to publishers requires the applicable paid-service agreement and approved campaign. The license ends when no longer needed for that purpose, subject to justified backup, legal record and dispute retention.

You warrant that you have the necessary copyright, trademark, publicity and other permissions and that your ads and landing pages are accurate and lawful. We may inspect, reject or remove content under the review process; review is not a legal opinion, endorsement or transfer of your compliance responsibilities.

Our application, design and original materials remain protected by applicable intellectual-property rights. External software and content remain subject to their own licenses. Confidential operational access does not give us ownership of your business content.

7. Availability, modification and suspension

We may maintain, correct or change the test service and restrict access reasonably needed to address security, suspected unlawful activity, third-party-rights issues, nonpayment in a future paid service or a material breach. Where practicable, we will give an explanation and an opportunity to correct a remediable issue. Immediate action may be necessary to protect users or comply with law.

You can stop using the service and request account closure through Contact & complaints. Closing an account, pausing a campaign, stopping automatic refill and requesting a refund are separate actions. For any future paid service, lawful refund rights and settlement of earned charges survive suspension or closure; suspension alone does not forfeit unused paid credit.

8. Disclaimers and limitations proposed for review

To the extent permitted by applicable law, the demonstration and research tools are provided as available without a guarantee of uninterrupted operation, complete data, a specific advertising outcome or suitability for a particular business decision. We do not disclaim rights or warranties that cannot lawfully be excluded.

For a future business contract, the proposed cap for ordinary contractual claims is the greater of USD 100 and fees actually paid to us for the affected service in the 12 months before the event. Proposed exclusions of indirect losses apply only to the extent lawful. These are review proposals, not an effective release or limitation today.

No proposed cap or exclusion limits fraud, intentional misconduct, gross negligence where it cannot be limited, death or injury where protected by law, non-waivable privacy or consumer remedies, or our duty to return amounts legally due. A cap does not turn unused paid credit into earned revenue. The final allocation needs review for the confirmed jurisdiction and customer type.

9. Third-party claims

A proposed business advertiser obligation is to defend and reimburse reasonable third-party claims directly caused by its unlawful ads, infringement or material misuse, to the extent of its responsibility. It would require prompt notice, reasonable cooperation, appropriate control of the defense and no settlement imposing an admission or nonmonetary duty without consent. It would not cover our own unlawful conduct, unauthorized content changes or independent breach. This provision remains subject to jurisdiction-specific review.

10. Disputes, governing law and mandatory rights

Contact admin@keywordsandbanners.com with the issue and relevant account/order/campaign reference so we can try to resolve it. Do not send passwords or full payment credentials. This contact process does not shorten statutory deadlines or prevent urgent relief or a regulator complaint.

The governing U.S. state and any non-exclusive business venue must be set after the operator’s registration and principal place of business are confirmed. This draft does not select an arbitrary state, impose arbitration, waive class proceedings, require an unlawful forum or exclude mandatory rights available where you reside.

11. Changes, records and general provisions

Final terms will display their version and effective date. Material changes require notice and fresh acceptance when necessary; they will not retroactively reprice accepted click purchases or create recurring payment authority. A future signed agreement, applicable service terms and the accepted order together describe the relevant bargain.

If a provision is unenforceable, the remaining lawful provisions continue to the extent possible. A waiver of one breach is not a waiver of others. Assignment or a business transfer must not remove mandatory protections or authorize incompatible data use. Legally required communications and rights survive termination where necessary.
